Exact Consulting (Pty) Ltd

1. Introduction
These Terms & Conditions govern the provision of IT consulting, data, database, cloud, and related services by Exact Consulting (Pty) Ltd (“Exact Consulting”, “we”, “us”) to our clients (“Client”, “you”).
By accepting a quotation or engaging our services, you agree to these terms.
2. Scope of Services
Services are provided as outlined in an accepted quotation, proposal, Statement of Work (SOW), or Service Level Agreement (SLA).
Any work outside the agreed scope may require written approval and may incur additional charges.
3. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information
- Ensure appropriate system access and permissions
- Maintain valid software licensing
- Appoint a primary contact for coordination
Delays caused by the Client may affect delivery timelines.
4. Fees & Payment
- Fees are as per the accepted quotation or agreement.
- Invoices are payable within the agreed payment terms.
- Late payments may result in service suspension and interest charges where applicable.
- All fees exclude VAT unless stated otherwise.
5. Confidentiality
Both parties agree to keep confidential information secure and not disclose it without written consent, except where required by law.
6. Data Protection
Exact Consulting processes personal information in accordance with the Protection of Personal Information Act (POPIA). Appropriate security measures are implemented to protect client data.
7. Intellectual Property
Upon full payment, deliverables created specifically for the Client become the Client’s property. Exact Consulting retains ownership of its methodologies, tools, and proprietary processes.
8. Limitation of Liability
Services are provided with reasonable skill and care. To the extent permitted by law, Exact Consulting is not liable for indirect or consequential damages, including loss of profits or data.
Total liability is limited to the fees paid for the specific service giving rise to a claim.
9. Third-Party Services
We may work with third-party software vendors or cloud providers. Exact Consulting is not responsible for third-party outages, pricing changes, or vendor policies.
10. Governing Law
These Terms are governed by the laws of the Republic of South Africa.
